Despite attempts to negotiate privately, Curaleaf decided to go public with its proposal after Aurora’s board declined to engage in discussions following formal letters of intent sent by Curaleaf’s CEO. The proposed deal would offer Aurora shareholders $4 US per share plus an additional $0.75 US in cash per share. Aurora confirmed receiving the bid letters but disputed Curaleaf’s claim that it refused to consider the offer. Aurora intends to assess the proposal with a special committee of independent directors to determine its stakeholder’s best interests. The companies, with a combined revenue exceeding $1.5 billion US in the past year, anticipate significant synergies from the potential merger.
